Vacancies

Requirements:

  1. Degree in Law with a valid Malaysian Bar Practising Certificate.
  2. For JB Office – Minimum seven (7) years PQE as a practicing lawyer and/or in-house counsel in a multinational corporation.
  3. For KL Office – Minimum ten (10) years PQE as a practicing lawyer and/or in-house counsel in a multinational corporation.
  4. Proven track record in managing mergers and acquisitions, deals restructuring for acquisitions, investments, divestments, IPOs, and FDI ventures of significant value.
  5. Possess initiative, drive and strong commercial acumen with competency and multi-tasking capability to develop, mentor, and lead a team of multi-disciplined professionals to complete M&A projects in a fast-track environment while demonstrating solid legal knowledge and skills.
  6. Membership in international professional institutions is desirable.

Responsibilities:

  1. Taking the lead in providing legal due diligence, technical due diligence, and forensic analysis in collaboration with Andersen Malaysia for corporate exercises such as IPOs, delisting, take-over and mergers exercises, and issuance of securities by publicly listed companies.
  2. Advising and acting for the publicly listed companies and clients’ target companies for sale, ensuring that corporate formalities have been duly adhered to, third-party vendor and supplier relationships are appropriately formalized and identifying, and if possible, taking steps to mitigate areas of potential risk.
  3. Responsible for advising clients in connection with the commercial contracts/ agreements on all matters, including the share sale and purchase agreement for the disposal and acquisition of the shares of a target company, joint ventures, and consortium agreements.
  4. Where applicable, structuring and strategizing with various stakeholders, entrepreneurs, C-suite management, investment bankers, and financial advisers on proposed fundraising through late-stage financing or initial public offerings (“IPOs”) on the Main Market, ACE Market, and LEAP Market of Bursa Malaysia Securities Berhad, as well as any listing on other foreign stock exchanges.
